Terms of Service — CTC Takeoffs

These Terms of Service ("Terms") are an agreement between CTC Takeoffs ("CTC Takeoffs," "we," "us") and the organization and individuals who use our service ("you"). By creating an account or using the service at app.ctctakeoffs.com (the "Service"), you agree to these Terms.

1. The Service

CTC Takeoffs is a web application for construction takeoffs and material estimating: uploading plan files, measuring and counting items on plans, and producing priced summaries and exports.

Beta. The Service is currently in beta. During beta: features may change, be added, or be discontinued; the Service may contain errors and may be interrupted; and pricing and plan terms may change before general release. The beta Service is provided "as is" without warranties of any kind (see Section 11).

2. Availability

The Service is offered to customers located in the United States and Canada, and in the European Union, the United Kingdom, and Switzerland. You are responsible for confirming the Service is lawful for you to use where you are.

3. Accounts and organizations

• Accounts are organized by organization. The person who creates an organization is its super admin and is responsible for the organization, its members, and its billing.
• One account may belong to one organization. You must provide accurate information and keep it current.
• Roles: super admin, admin, and user. Super admins manage members, organization settings, and billing. You are responsible for activity under your organization's accounts and for keeping login credentials secure.
• You must be at least 18 years old and able to enter a binding contract to use the Service.

4. Subscriptions, trials, and billing

• Free trial. Each organization may start one 14-day free trial. A payment card is required to start the trial. If you do not cancel before the trial ends, the subscription begins and the card is charged.
• Plans. Founders pricing is available to the first 100 organizations: $39.99/month or $399.99/year for the base plan (first user included), plus $19.99/month or $199.99/year per additional user. Standard pricing is $59.99/month or $599.99/year for the base plan, plus $29.99/month or $299.99/year per additional user.
• Founders lock. Founders pricing is guaranteed for 3 years from the organization's first subscription start while the subscription remains continuously active. After the lock period, the subscription moves to Standard pricing from the next billing cycle; we will email the super admin before this happens. If a Founders subscription is cancelled and later resumed, Founders pricing no longer applies.
• Prices and taxes. Prices are in USD and exclude tax. Applicable sales tax / VAT is calculated and collected at checkout (via Stripe Tax).
• Seats. Your bill adjusts to your organization's member count; seat changes take effect as described in the billing panel.
• Billing cycle changes. You may switch between monthly and annual billing; your pricing tier does not change. Changes apply as shown at checkout (including any proration calculated by our payment processor).
• Promotions. Promotional codes may offer an extended trial or a discount, as described when the code is issued. One code per organization unless stated otherwise; codes may expire or be withdrawn.
• Payment processing. Payments are processed by Stripe. We do not receive or store your full card number.
• Failed payment / lapse. There is no grace period. If a paid period lapses without payment, access to the Service stops until the subscription is renewed. Your data is retained while your account is inactive (see Section 6).
• Reminders. We email the super admin approximately 7 days and 3 days before a trial converts to a paid subscription and before certain plan changes take effect.
• Refunds are governed by our Refund Policy, which is part of these Terms.

5. Your content

• Ownership. Your plans, projects, measurements, company details, logos, and other content you upload or create ("Your Content") remain yours (or your licensors').
• License to operate. You grant us the limited rights needed to host, process, display, and back up Your Content so we can provide the Service to you and your organization.
• No other use. We do not sell Your Content, share it with other customers, or use it to train models.
• Responsibility. You are responsible for Your Content, including having the rights to use the plans you upload. Estimates produced by the Service are tools for your work; you are responsible for verifying quantities and prices before bidding or ordering.

6. Account deletion and data retention

• Download first. You may download an export of your account and project data from Settings at any time.
• Deletion by you. You may request account deletion in Settings. Deletion is scheduled 7 days after the request; you may cancel the request during that window by signing in and stopping the deletion. Deleting a super admin's account deletes the organization and its projects; other members' accounts are detached from the organization.
• Deletion after inactivity. If an organization's subscription has lapsed and the account remains inactive for 6 months, we may permanently delete the organization and its data. We will email the super admin approximately 30 days, 7 days, and 24 hours before deletion and offer a data download.
• After deletion, data is removed from production systems; limited copies in backups are overwritten in the normal backup cycle.

7. Support access

We offer a consent-based support access feature:

• CTC Takeoffs support staff may request temporary access to your organization's projects to help with a support issue. Access begins only if your organization's super admin opens the emailed approval link and expressly agrees to the support-access terms shown there.
• Access lasts at most 24 hours, is limited to your organization's projects, and allows full editing within those projects.
• Your organization is notified when a session starts and ends, sees a banner in the app while a session is active, and can end the session at any time.
• Requests, decisions, session start/end, and endings are logged.

Using the support feature is optional; declining a request does not affect your subscription.

8. Feedback

You may send feedback through the app. Feedback is one-way: we read it but do not reply to it (for help, contact support). You grant us a royalty-free, worldwide right to use feedback to improve the Service without obligation to you.

9. Acceptable use

You agree not to: (a) misuse the Service or attempt to access it or other customers' data without authorization; (b) upload unlawful content or content you have no right to use; (c) interfere with the Service's operation or security; (d) resell or sublicense the Service except as permitted; or (e) use the Service to violate applicable law.

10. Our intellectual property

The Service, software, branding, and documentation are owned by CTC Takeoffs and its licensors. These Terms do not grant you any rights in them except the right to use the Service as provided.

11. Disclaimers

The Service is provided "as is" and "as available," in beta (Section 1) and thereafter, without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. We do not warrant that measurements, calculations, or exports will be error-free; verify before relying on them commercially.

12. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits; and (b) our total liability arising from the Service is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including your statutory consumer rights where they apply.

13. Indemnification

You agree to indemnify and hold harmless CTC Takeoffs from claims arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.

14. Suspension and termination

We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service or other customers. You may cancel at any time in Settings; cancellation stops future renewals and access ends as described in Sections 4 and 6.

15. Changes

We may update these Terms. Material changes will be emailed to organization super admins and/or announced in the app at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in California, and the parties consent to their jurisdiction. If you are a consumer in the EU, UK, or Switzerland, you keep the protection of the mandatory laws of your country of residence, and you may bring proceedings in your local courts.

17. General

These Terms (with the Privacy Policy, Refund Policy, and, where applicable, the Data Processing Addendum) are the entire agreement between you and CTC Takeoffs about the Service. If a provision is unenforceable, the rest remains in effect. Notices to us: support@ctctakeoffs.com.
